Mr. O’Naghten is a tested advisor and legal counsel to the principals and management of closely held business interests with over 25 years of experience. He has served both on executive and advisory boards and acted as general or lead outside counsel. In these roles, he has negotiated and structured complex financial, commercial and real estate transactions, including public-private partnerships, with particular emphasis on trans-border capital flows. He has worked with families and family-controlled businesses on issues relating to their investments and commercial operations as well as the generational transfer of wealth. ★ Global Experience: Conducted business and executed trans-border transactions in the United States, LatAm and the Caribbean and Western Europe. Created and managed legal teams that span multiple jurisdictions for both transactional and operational purposes.
★ Entrepreneurship: Played key roles in the creation and start-up of varied enterprises, including a bank, an airline, insurance and re-insurance companies, telecommunications companies and real estate developers, most of which either operated internationally or were financed by foreign capital.
★ Transactional Experience: Completed debt and equity financings and acquisitions world-wide including deal structuring and negotiations, financing, legal and tax structuring and due diligence.
★ Regulatory Experience: As counsel to companies operating in highly regulated industries (finance, aviation, telecommunications, healthcare), dealt with an extensive array of regulatory bodies in the United States and abroad and supervised regulatory counsel.
★ Governmental Experience: As a Member of the Government Council of the Sovereign Order of Malta and its Special Delegate for Latin America, represented the Order to various countries, including at the inauguration of heads of state, the opening of the new locks of the Panama Canal and the adhesion of the Sovereign Order to the treaty creating the Central American Integration System (SICA).
★ NGO Experience: Led and served on the board of various NGOs, including those focused on human and social services, public policy and cultural activities. In such role, created and managed programs, raised funds from both public and private sources and dealt with public and private stakeholders.
